Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you or the organization you represent (“you”) and Insuriant AI (“Insuriant AI,” “we,” “us”) governing access to and use of our websites, applications, voice and messaging services, digital companions, agency software, referral network tools, and related offerings (the “Services”).

By accessing or using the Services, creating an account, providing contact information, requesting communications, submitting a referral, applying for network membership, or continuing a session, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

A signed master agreement or order form controls if it expressly conflicts with these Terms.

2. The Services

The Services may include licensed insurance agency assistance; software for insurance agencies; voice and digital experiences; service, transactional, and (where permitted) promotional communications; and the Insuriant Referral Network.

We may update, add, or discontinue features. Availability of a particular channel, number, or integration is not guaranteed except as stated in a signed agreement.

3. Insurance products

Insuriant AI is not the issuing insurance company unless a specific disclosure states otherwise. Quotes and illustrations may be estimates and are subject to underwriting. Eligibility, rates, and coverage are determined by the insurer and the policy documents.

4. Accounts

You agree to provide accurate information and to keep credentials confidential. You are responsible for activity under your accounts. We may suspend or terminate access for non-payment, misuse, legal risk, or material breach.

5. Acceptable use

You must use the Services in accordance with our Acceptable Use Policy and applicable law. You may not send unsolicited communications; evade opt-out or suppression systems; submit fraudulent referrals; provide unlicensed insurance advice; misrepresent identity or licensure; or attempt to disrupt or misuse the Services.

6. Communications

By providing a telephone number or email address, you authorize us to contact you for service, transactional, and operational purposes related to your use of the Services, using conventional and automated means as permitted by law. Text messaging and calling are further described in the Messaging Policy and Voice Communications Policy. Promotional messages, where used, are sent only with the consent required by law. Message frequency varies. Message and data rates may apply. Reply STOP to cancel SMS.

7. Voice and automated assistance

Calls and sessions may involve licensed personnel, automated systems, or both. Recording, transcription, and analysis may occur where enabled and permitted, with notice or consent when required by law. Automated outputs can be incomplete or incorrect. Licensed personnel handle insurance advice and placement where required. See the AI & Automation Notice and Voice Communications Policy.

8. Referral Network

Participation in the Insuriant Referral Network is governed by these Terms and the Referral Network Terms. Membership requires application and approval, and may also follow an invitation. Unlicensed members are not compensated based on whether a consumer purchases insurance.

9. Content

You retain ownership of content you submit. You grant Insuriant AI a worldwide, non-exclusive license to host, process, transmit, display, and create derivative works of that content as needed to provide, secure, operate, and improve the Services. Feedback may be used without obligation to you.

10. Fees

Fees and usage charges may apply as presented at purchase or in an order or membership schedule. Except where required by law or a signed order, amounts paid are non-refundable.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted service, error-free automated outputs, delivery of every message or call, or the accuracy of quotes, transcripts, or automated assistance.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER INSURIANT AI NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO INSURIANT AI FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

These limitations allocate risk between the parties and are a material basis on which the Services are offered.

13. Indemnification

You will defend and indemnify Insuriant AI against third-party claims arising from your content, your misuse of the Services, your failure to obtain required consents, referral fraud, or your violation of these Terms or law, except to the extent caused by our willful misconduct.

14. Term

These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate access for material breach, legal risk, or non-payment. Provisions that by their nature should survive termination will survive.

15. Changes

We may update these Terms by posting a revised version and updating the effective date. Continued use after a change takes effect constitutes acceptance where permitted by law.

16. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to mandatory law, exclusive venue is the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction there.

Before filing a claim, please contact support@insuriant.ai and allow at least thirty (30) days to attempt an informal resolution. Small-claims court remains available for qualifying claims.

Class actions. To the extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.

17. General

These Terms and the policies they reference are the entire agreement for the Services unless a signed master agreement states otherwise. If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. Notices may be sent to your account email or posted in the Services.
