Referral Network Terms
Membership, acceptance, and compensation for the Insuriant Referral Network.
These Referral Network Terms (“Network Terms”) govern the Insuriant Referral Network (the “Network”) operated by Insuriant AI. They apply to network members (“Members”) and, where indicated, to consumers who submit a request for insurance assistance. They supplement the Terms of Service and Privacy Policy.
1. Purpose
The Network provides an approved way for consumers to request insurance shopping assistance from Insuriant AI. We review referrals under published acceptance rules, route accepted consumers to licensed workflows, and — where a membership schedule applies — compensate Members for accepted referrals. Unlicensed Members are not compensated based on whether a consumer purchases insurance, on premium, or on commission.
2. Membership
Membership requires an application and our approval. We may also invite applicants to apply. Submission of an application, receipt of an invitation, payment, or referral volume does not by itself create membership.
Members must provide accurate identity, business, tax, and payout information and complete required onboarding. We may approve, condition, suspend, or end membership for integrity, compliance, reputation, or operational reasons.
3. Role of unlicensed Members
Unless a Member is separately licensed and appointed as required, the Member does not provide insurance advice, comparisons, quotes, or binding authority on Insuriant AI’s behalf; does not promise coverage or savings; and does not conduct unapproved outbound solicitation. Members help a consumer make a clear request, with notice of who will contact the consumer.
4. Consumers
Consumers should understand that they are requesting contact or assistance from Insuriant AI (and any party we disclose); that providing contact details authorizes communications as described in the Privacy Policy, Messaging Policy, and Voice Communications Policy; and that a referral is not an application for insurance and does not guarantee a quote or policy.
5. Acceptance
Whether a referral is accepted is determined by Insuriant AI under rules that may include identity and contact validity, geography and product eligibility, duplicate detection, fraud and integrity review, and sufficiency of consent. Acceptance is not a statement about underwriting or the likelihood of a purchase.
6. Compensation framework
6.1 Accepted-referral principle
Compensation to unlicensed Members, if any, is earned from an accepted referral under the applicable schedule. It is not earned from a subsequent purchase, premium, commission, carrier placement, or retention result.
6.2 Membership tiers
Insuriant AI may maintain membership tiers. Each tier may include:
- A compensation schedule for accepted referrals in defined product classes
- Operational requirements, such as training, approved materials, or conduct standards
- Conditions for placement in, or retention of, a tier
Tier names, the number of tiers, and schedule amounts may be published in a membership schedule, member portal, or member notice. Changes to those operational schedules apply going forward.
6.3 Qualification information
Placement in a tier, and adjustments to that placement, may take into account categories of information such as:
- Volume and reliability of accepted referral activity over defined evaluation periods
- Integrity and consent quality of referral sources
- Operational conduct and compliance with Network rules
- Alignment of referrals with approved classes of pre-purchase information that Insuriant AI maintains for Network administration
Insuriant AI maintains the catalog of approved information classes and the methodology used to administer tiers. Member-facing materials describe the categories of information that may inform tier placement. Detailed scoring methodologies and internal catalogs are confidential operational materials. Updates to those operational materials do not require restatement of these Network Terms, provided compensation for unlicensed Members remains based on accepted referrals and not on insurance purchase outcomes.
6.4 Evaluation periods
Tier changes generally take effect for a defined prospective evaluation period. We do not reprice closed accepted-referral compensation based on later purchase outcomes.
6.5 Payment
Payout timing, minimums, adjustments for fraud or integrity failures, tax documentation, and payment methods are set in the membership schedule or member agreement.
6.6 Member visibility
Members receive status appropriate to their role (for example submitted, accepted, declined, or paid). Members do not receive premium, commission, policy number, carrier placement, or renewal information unless separately licensed or authorized and a documented need exists.
7. Stewardship roles
If stewardship or similar management roles are offered, compensation for that work and for accepted referrals from managed sources will be structured in accordance with applicable law. Compensation structures that depend on insurance sales results for unlicensed participants are not permitted.
8. Prohibited conduct
Members may not submit fabricated or non-consented referrals; use lists without a lawful basis and our approval; misuse Insuriant AI marks; attempt to misuse confidential Network methodologies; or circumvent suppression systems.
9. Data and intellectual property
Network software, branding, acceptance rules, and documentation are owned by Insuriant AI. Consumer and referral information is processed under the Privacy Policy.
10. Independent contractors
Members are independent contractors unless a separate agreement states otherwise and are responsible for their own taxes.
11. Disclaimers and liability
Network tools are provided “AS IS.” The disclaimers, liability limits, and indemnity in the Terms of Service apply. We do not guarantee referral volume, acceptance rates, or payout timing beyond a written schedule.
12. Termination
Either party may end membership as provided in the member agreement or, if there is none, upon notice. We may suspend membership immediately for suspected fraud or legal risk. Valid acceptances that occurred before termination remain subject to integrity review.
13. Changes
We may update these Network Terms by posting a revised version. Operational schedules, tier labels, and internal catalogs may change prospectively as described in Section 6.
